Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and AiPorter Technologies Pte. Ltd. ("AiPorter", "we", "us", or "our") governing your access to and use of the AiPorter website, APIs, dashboard, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.

2. Accounts & Eligibility

You must be at least 18 years old and have the legal capacity to enter a contract to use our Services. When you create an account, you agree to:

• provide accurate, complete, and current registration information;
• promptly update such information as necessary;
• maintain the confidentiality of your account credentials and be responsible for any activity under your account.

3. License to Use the Services

Subject to these Terms, AiPorter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to copy, reproduce, distribute, republish, or resell any part of the Services without our prior written consent.

4. Acceptable Use Policy

You agree not to use the Services:

• to violate any applicable law, regulation, or third-party right, including intellectual property rights;
• to upload, submit, or transmit illegal, harmful, infringing, offensive, or malicious content;
• to attempt unauthorized access to, disruption of, or reverse engineering of the Services or their underlying systems;
• to exceed rate limits, overload the platform, or use the Services for competitive benchmarking or scraping without our written consent.

5. Subscriptions, Payment & Renewal

Paid plans are billed in advance on a monthly or annual basis according to the plan you select. By providing a payment method, you authorize us to charge recurring fees using the payment method you have on file. All fees are non-refundable unless required by law. Downgrades and cancellations take effect at the end of the current billing period. Unused tokens or allocations do not roll over unless explicitly stated for a given plan.

6. Intellectual Property

As between you and AiPorter, AiPorter retains all right, title, and interest in and to the Services, including all related intellectual property rights. You retain ownership of the content and data you submit through the Services. You grant AiPorter a limited license to process, store, and transmit your data solely as necessary to operate the Services and fulfill our obligations under these Terms.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AIPORTER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS. OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
